Health Department Requirements to Verify Before Signing a Takeover Property Agreement – Avoiding "We Signed the Contract, But Permission Was Denied"

Even with a takeover property, the previous business's operating license cannot always be carried over. While business succession notifications became possible as of December 13, 2023, this applies only when you assume the entire business operation from the previous operator. If you're only leasing the property, you'll need a new operating license. Before signing a contract, there's more to verify than just kitchen equipment.
Can You Inherit the Previous Business's License with a Takeover Property?
This is where most misunderstandings occur.

"Takeover property = license comes with it" is incorrect. The license can only be inherited when you assume the business operation itself. With a typical takeover property lease where you're only renting the space, you must obtain a new license.
Even when inheriting through business transfer, you must attach documents that confirm the fact of transfer and the intent to transfer, such as a transfer agreement or memorandum. Informal arrangements like "I'm taking over the shop from an acquaintance" won't allow the process to proceed.
Why Does "We Signed the Contract But Permission Wasn't Granted" Happen?
Restaurant openings stumble because property leasing agreements and operating license approval follow completely different timelines.
Rent begins accruing from the day you sign the lease. However, if facility standard deficiencies are discovered later, you're faced with additional construction time and costs on top of that. You end up paying rent for the period when you can't operate, along with unexpected construction expenses. This is the most painful scenario.
In Bunkyo Ward, completed facilities are subject to an on-site inspection, and if they don't meet facility standards, the license will not be granted. You'll need to remedy deficiencies and undergo reinspection. I've witnessed this same costly rework structure repeatedly when supporting group home openings. Having a pre-consultation with the health department before signing the contract avoids the vast majority of these failures.
Where Are the Facility Requirements Documented?
Facility standards in Tokyo are defined in Schedule 2 of the Tokyo Food Sanitation Law Ordinance (delegated under Article 54 of the Food Sanitation Law). Properties in Bunkyo Ward are evaluated by these ordinance standards.

The ordinance does not specify the number of washing tanks numerically. It defines them as "appropriate size and quantity for each use purpose." What you need depends on the food types you handle and your business operations. Don't rely on general rules here—bring your floor plans and confirm with the health department.
There Are Exemptions for Simplified Operations
For businesses that only perform simple food preparation, such as plating food that can be consumed as-is or heating semi-prepared dishes (including coffee shop operations), the ordinance provides exemptions.
- Flooring and interior walls: If deemed safe for food sanitation, materials other than impermeable materials may be used
- Drainage facilities: If deemed safe, flooring installation is not required
- Refrigeration/freezing equipment: If deemed safe, equipment may be placed outside the facility
- Compartmentalization: If the structure prevents non-staff from entering easily, compartmentalization is not required
If you're considering a café or light-food-focused business model, whether you can use these exemptions affects your interior construction costs.
The ordinance also includes a provision allowing the governor to approve exceptions in cases where the business format, land conditions, or other special circumstances present no sanitation concerns. The health department makes these individual determinations.

The facility inspection and license issuance process takes approximately one week. Coordinate your opening date in advance with the health department.
If you plan to serve alcohol after midnight, you must obtain a food service business license first, then file this notification. Zoning restrictions also apply, making business format decisions critical to property selection from the outset. The approach of "secure the property first, decide the business format later" is risky at this point.
Additionally, hygiene management under HACCP has been mandated as of June 1, 2021 for all food-related business operators as a general rule, and creating a hygiene management plan is a prerequisite for operations.
